About the Role
As M&A Manager, you are at the heart of IONITY’s inorganic growth agenda - identifying, evaluating and executing transactions that expand our network, capabilities and market position across Europe.
Reporting to the Director Strategy & Innovation, you will work closely with senior leadership, shareholders and external advisors as well as internally with another Business Developer as well as the Business & Market Intelligence Team to identify, originate, and execute M&A opportunities - from initial target screening through to signing, closing and integration handover.
This role combines deep financial and analytical rigor with strong project management and stakeholder skills. You will run complex, multi-workstream transactions in a fast-moving environment, working at the interface of finance, strategy, legal and operations.
You will work on some of the most strategically significant transactions shaping the future of EV charging infrastructure in Europe.
Key Responsibilities
Deal Origination & Target Identification
- Proactively identify and screen M&A targets aligned with IONITY’s strategic growth agenda, including charging network acquisitions, technology bolt-ons, and other adjacent industries across Europe.
- Build and maintain a structured pipeline of opportunities; develop and present investment theses and initial assessments to senior leadership.
- Track competitive landscape and market developments to identify inorganic opportunities before they come to market.
- Lead and manage all work-streams of live transactions: financial modeling and valuation, due diligence coordination, SPA negotiation, and shareholder approval processes.
- Build robust business cases and financial models, including DCF valuations, scenario analyses, earn-out mechanics and IRR / return analysis for investment committee, bank and shareholder approval.
- Coordinate external advisors (legal, financial, technical, tax, etc.) and manage data room processes, due diligence findings and issue resolution.
- Prepare and present transaction documentation, including investment memoranda, Q&A materials and update communications
- Act as the key internal coordinator across Finance, Legal, Operations and People & Culture for all transaction-related work-streams.
- Manage shareholders and lender communication, and financing processes associated with acquisitions, including consent processes, covenant negotiations and drawdown coordination.
- Support integration planning and handover to operational teams post-closing, including tracking of key milestones, earn-out conditions and post-merger value capture.
- Maintain M&A knowledge base, lessons learned and transaction documentation for institutional memory and future deal reference.
